B2B Partner & API Access Agreement

This B2B Partner & API Access Agreement ("Agreement") is entered into between LegalDock ApS, CVR no. [INDSÆT CVR], [Gadeadresse], [Postnummer] København, Denmark ("LegalDock", "we", "us") and the partner entity or professional registering for API access ("Partner", "you").

By registering as a partner, you confirm that you are acting in a professional or commercial capacity and not as a consumer. This Agreement governs your access to and use of the LegalDock Partner Programme and API services.

1. Definitions

"API" means the LegalDock application programming interface, documentation, and related services.
"Partner Programme" means the commercial partnership scheme operated by LegalDock.
"End Customer" means any third party to whom Partner provides services using the LegalDock API.
"Commission" means the revenue share paid to Partner for qualifying referrals or transactions.
"Personal Data" has the meaning set out in the GDPR (Regulation (EU) 2016/679).

2. Grant of Access

Subject to the terms of this Agreement, LegalDock grants Partner a non-exclusive, non-transferable, revocable licence to access and use the API solely for the purpose of integrating LegalDock services into Partner's own products or services for commercial purposes.

Partner shall not: (a) sublicense, resell, or redistribute API access to third parties without prior written consent; (b) reverse-engineer, decompile, or attempt to derive source code from the API; (c) use the API in any manner that violates applicable laws or infringes third-party rights; or (d) exceed the rate limits or usage quotas specified in the API documentation.

3. Partner Obligations

Partner agrees to:

  • Comply with all applicable laws, including data protection, consumer protection, and anti-money laundering regulations
  • Maintain adequate technical and organisational measures to secure API credentials and End Customer data
  • Provide accurate and complete registration information and notify LegalDock of any changes
  • Not misrepresent the relationship with LegalDock or imply endorsement without prior written consent
  • Clearly disclose to End Customers that legal document services are provided by LegalDock
  • Ensure End Customers agree to LegalDock's consumer Terms of Service and Privacy Policy where applicable

4. Commission and Payment

Partner shall receive a commission on qualifying revenue generated through the Partner Programme. The commission rate is [See Partner Tier Schedule] of net revenue (excluding VAT, refunds, and chargebacks) and may vary based on partner tier, volume, or product category.

Commissions are calculated monthly and paid net 30 days via bank transfer, subject to a minimum payout threshold of DKK 500. Partner is responsible for all taxes arising from commission payments.

LegalDock reserves the right to withhold or reverse commissions in case of fraudulent activity, chargebacks, refunds, or breach of this Agreement.

5. Data Processing and GDPR Compliance

Where Partner processes Personal Data on behalf of LegalDock or vice versa, the parties agree to the data processing terms set out in Schedule A (Sub-Processors and Data Processing Addendum).

Each party warrants that it complies with the GDPR and applicable data protection laws. Partner shall not process Personal Data obtained via the API for any purpose other than providing services to End Customers as contemplated by this Agreement.

Partner shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including encryption, access controls, and regular security assessments.

6. Intellectual Property

All intellectual property rights in the API, LegalDock platform, legal templates, and documentation remain the exclusive property of LegalDock. This Agreement does not transfer any ownership rights.

Partner grants LegalDock a non-exclusive, royalty-free licence to use Partner's name, logo, and trademarks solely for the purpose of identifying Partner as a participant in the Partner Programme, subject to Partner's prior approval of specific marketing materials.

7. Limitation of Liability

To the maximum extent permitted by law, LegalDock's total liability under this Agreement shall not exceed the total commissions paid to Partner in the 12 months preceding the claim.

LegalDock shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

The API and Partner Programme are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.

8. Term and Termination

This Agreement commences upon Partner's registration and continues until terminated by either party with 30 days' written notice.

LegalDock may terminate this Agreement immediately if Partner: (a) breaches any material term; (b) engages in fraudulent activity; (c) becomes insolvent or subject to bankruptcy proceedings; or (d) uses the API in a manner that causes harm to LegalDock or its customers.

Upon termination: (a) Partner's API access shall be revoked immediately; (b) Partner shall cease use of LegalDock branding and confidential information; (c) unpaid commissions earned prior to termination shall remain payable; and (d) Sections 5, 6, 7, and 9 shall survive termination.

9. General Provisions

Governing Law: This Agreement is governed by Danish law. Disputes shall be resolved by the courts of Copenhagen, Denmark.

Amendments: LegalDock may amend this Agreement by providing 30 days' notice. Continued use of the API after the notice period constitutes acceptance of the amendments.

Entire Agreement: This Agreement, together with the API documentation and any schedules, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

Assignment: Partner may not assign this Agreement without LegalDock's prior written consent.

LegalDock engages the following sub-processors to provide infrastructure and services. All sub-processors are contractually bound to GDPR-compliant data processing terms.

Data Processing Terms: Where Partner acts as a data controller and LegalDock processes Personal Data on Partner's behalf, LegalDock agrees to: (a) process data only on documented instructions; (b) ensure confidentiality of personnel; (c) implement appropriate security measures; (d) assist with data subject requests and breach notifications; and (e) delete or return data upon termination.

LegalDock may update this list of sub-processors by providing 30 days' notice. If Partner objects to a new sub-processor on reasonable data protection grounds, Partner may terminate this Agreement without penalty.
